1. Premises and Definitions

1.1 Provider Identification

These Terms and Conditions govern the provision of services by:

• •Project: the set of activities agreed upon for the creation of a website or other digital solution
• •Deliverable: materials, files and products delivered to the Client
• •Briefing: the requirements gathering and project definition phase

2. Subject of the Contract

2.1 Services Offered

Pixarts offers the following professional services:

• •Landing Page: single web pages optimized for conversion (delivery in 7 days)
• •Business Websites: professional multi-page websites (delivery in 10 days)
• •E-commerce e Booking: platforms for online sales and bookings (delivery in 14 days)
• •Maintenance and Support: monthly ongoing support plans

2.2 Exclusions

Unless otherwise agreed in writing, Services do NOT include:

• •Content creation (copywriting)
• •Photography services or video production
• •Advertising campaigns and social media management
• •Domain registration (assistance included, cost borne by Client)
• •Hosting (assistance in selection included, cost borne by Client)
• •Translations into foreign languages

3. Work Process

3.1 Project Phases

Each project follows a structured process:

The times indicated refer to the "Business Website" plan and may vary depending on the project type.

3.2 Communication

• •Official communications take place via email
• •The Client will receive regular updates on project status
• •Pixarts commits to responding within 24 business hours

3.3 Approvals

• •The Client will be able to approve the design before development
• •Substantial changes after approval may incur additional costs
• •Absence of feedback within 5 business days is equivalent to tacit approval

4. Client Obligations

4.1 Material Provision

The Client agrees to provide promptly:

• •Logo and existing graphic materials
• •Texts and content for the site
• •Images and media (or authorization to purchase from stock)
• •Necessary access credentials (hosting, domains, etc.)
• •Feedback and approvals within agreed timeframes

4.2 Content Responsibility

The Client guarantees that:

• •Materials provided do not violate third-party rights (copyright, trademarks, privacy)
• •Content is truthful and not misleading
• •Has the necessary rights for the use of all materials provided

Pixarts will not be responsible for content provided by the Client that violates current regulations or third-party rights.

4.3 Collaboration

The Client agrees to:

• •Designate a single point of contact for the project
• •Actively participate in the briefing phase
• •Respond to requests within reasonable timeframes
• •Promptly communicate any problems or changes

5. Prices and Payments

5.1 Price List

Prices are indicative and subject to customized quote.

5.2 Payment Terms

Payment is made as follows:

• •50% at order: to be paid at contract signing
• •50% at delivery: to be paid before publication

5.3 Accepted Payment Methods

• •Bank transfer
• •Credit/debit card (via Stripe)
• •Stripe (secure online payment)

5.4 Invoicing

• •Pixarts issues a regular invoice for each payment
• •Invoices are issued in electronic format
• •Prices shown are exclusive of VAT, where applicable

5.5 Late Payments

In case of late payments:

• •Pixarts reserves the right to suspend work
• •Late payment interest may be applied according to current regulations
• •The site will not be published until full payment

6. Pixarts Guarantees

6.1 Delivery Guarantee

We commit to meeting agreed timelines. In case of delay attributable to Pixarts:

• •Applicable up to a maximum of 30% of the project value
• •Not applicable in case of delays caused by the Client

6.2 Satisfaction or Money Back Guarantee

We offer a full refund guarantee:

• •Applicable if the Client is not satisfied with the creative direction
• •The Client must communicate the reasons for dissatisfaction in writing
• •Not applicable after design approval

6.3 Revisions and Support Guarantee

Each project includes:

• •Unlimited revisions during the design phase (before approval)
• •2 rounds of revisions after design approval
• •30 days of support free from publication
• •Bug and malfunction fixes at no additional cost

6.4 Exclusions from Guarantees

Guarantees do not apply in case of:

• •Delays caused by lack of Client cooperation
• •Requests for substantial changes after approval
• •Problems arising from third-party services (hosting, domains, etc.)
• •Damage caused by unauthorized interventions on the site

7. Intellectual Property

7.1 Client Materials

The Client maintains full ownership of:

• •Pre-existing logo and visual identity
• •Text content and media provided
• •Business data and information

7.2 Project Deliverables

Upon full payment, the Client acquires:

• •Full ownership of developed source code
• •Unlimited usage rights on created design
• •Licenses for fonts, stock images and components included in the project

7.3 Portfolio and References

Unless otherwise agreed in writing, Pixarts reserves the right to:

• •Include the project in its portfolio
• •Cite the Client as a reference
• •Use project screenshots for promotional purposes

The Client may request removal from the portfolio at any time.

7.4 Tools and Methodologies

Pixarts maintains ownership of:

• •Work methodologies and processes
• •Reusable code and proprietary libraries
• •Know-how and developed competencies

8. Liability and Limitations

8.1 Pixarts Liability

Pixarts is responsible for:

• •Professional execution of agreed Services
• •Meeting timelines (except for causes not attributable)
• •Correction of reported defects and malfunctions
• •Compliance with agreed technical specifications

8.2 Limitation of Liability

Pixarts is NOT responsible for:

• •Indirect, incidental or consequential damages
• •Loss of profits, data or business opportunities
• •Third-party service malfunctions
• •Damage from improper use of the site
• •Commercial results of the site (sales, conversions, etc.)

Pixarts' maximum liability is limited to the amount actually paid by the Client for the Service in question.

8.3 Force Majeure

Neither party shall be liable for delays or failures caused by force majeure events, including: natural disasters, wars, pandemics, essential service interruptions, government measures.

9. Confidentiality

9.1 Confidential Information

Both parties agree to keep confidential:

• •Commercial and strategic information
• •Technical data and project documentation
• •Agreed economic conditions
• •Any information expressly indicated as confidential

9.2 Duration

The confidentiality obligation remains for 2 years from the end of the contractual relationship.

9.3 Exceptions

The confidentiality obligation does not apply to information:

• •Already in the public domain
• •Legitimately obtained from third parties
• •Requested by competent authorities

10. Termination and Withdrawal

10.1 Client Withdrawal

The Client may withdraw from the contract at any time, with the following consequences:

10.2 Pixarts Withdrawal

Pixarts may withdraw from the contract in case of:

• •Non-payment beyond 30 days from due date
• •Non-collaborative behavior by the Client
• •Requests contrary to law or professional ethics
• •Subsequent impossibility of performing the Service

In case of Pixarts withdrawal due to causes attributable to the Client, the deposit will not be refunded.

10.3 Termination for Breach

Either party may terminate the contract for serious breach by the other, subject to written notice with a 15-day period to remedy.

11. Final Provisions

11.1 Applicable Law

This contract is governed by the law of the Czech Republic.

11.2 Jurisdiction

For any dispute arising from this contract, the Court of Prague (Czech Republic) shall have exclusive jurisdiction.

The parties agree to attempt an amicable resolution before taking legal action.

11.3 Severability Clause

If one or more clauses of these Terms should be null or ineffective, the remaining clauses shall remain fully valid and effective.

11.4 Modifications

Pixarts reserves the right to modify these Terms and Conditions. Changes will be communicated through publication on the site and, for clients with ongoing contracts, via email.

Modifications do not apply to contracts already signed, unless otherwise agreed.

11.5 Communications

All communications relating to the contract must be sent to:

These Terms and Conditions, together with the specific quote/contract signed, constitute the entire agreement between the parties, replacing any prior verbal or written understanding.

12. Acceptance

Use of Pixarts Services implies full acceptance of these Terms and Conditions.

For specific projects, acceptance occurs through:
